Terms of Service
These Terms of Service (“Terms”) govern your use of Denize, a service operated by Integration Partners LLC (“Denize,” “we,” “us,” or “our”). By accessing or using our platform you agree to these Terms.
1. The Service
Denize is an invoice processing platform that integrates with Procore. It extracts invoice fields, suggests project, vendor, and cost-code matches, and prepares information for a user-directed submission. Access requires a Procore account and, for company-level features, installation of the Denize app by a Procore administrator.
2. Accounts
You authenticate via Procore OAuth. You are responsible for all activity that occurs under your account. You must be authorized to act on behalf of any company you connect through Procore.
3. Subscriptions & Billing
Paid plans are arranged directly with Denize and invoiced securely through Stripe. The price, payment schedule, included invoice volume, renewal terms, and service period stated on your invoice or written order apply to your purchase. Contact Denize to request a plan change, cancellation, refund review, or other billing change.
Denize may grant a 30-day trial with a 50-invoice monthly allowance. Trials are activated by the Denize team; creating an account does not automatically begin a trial. A paid subscription begins only after Denize confirms the plan and issues the applicable invoice or written order.
4. Usage Limits
Your order states the invoice volume included in your plan and any applicable fair-use limit. Additional invoice capacity may be purchased where offered. If an applicable limit is reached, processing may be paused until more capacity is purchased, the next usage period begins, or a higher-volume arrangement is agreed.
5. Team Members & Data Ownership
Paid plans include unlimited internal users at no added seat cost. Core covers one Procore company. Unlimited may include multiple Procore companies belonging to the same subscribing customer organization. Membership is assigned separately for each Procore company, and access to one company does not automatically grant access to another.
- Ownership: All invoices and history processed under a shared plan are owned by the company (Procore company account), regardless of which team member initiated the upload. Invoice records remain with the company when a member leaves.
- Review before submission: Denize requires user review and explicit confirmation before an invoice is submitted to Procore. By clicking submit, the user confirms they reviewed the extracted data and suggested matches.
- Leaving a team: Removing a member ends their Denize access for that Procore company only. Their access to other companies is unaffected, and invoice history stays with the company.
- Responsibility: The company subscription owner is responsible for the activity of members invited to that company.
6. Acceptable Use
You may not use Denize to process fraudulent invoices, circumvent Procore’s terms of service, reverse-engineer or scrape our platform, or use the service for any unlawful purpose. We reserve the right to suspend accounts that violate these rules.
7. AI Accuracy & Human-in-the-Loop
Denize uses artificial intelligence to extract and match invoice data. While we strive for high accuracy, AI-generated outputs may contain errors (“hallucinations”), including incorrect amounts, vendor names, cost codes, or allocations.
- User Responsibility: You maintain final approval authority. You are responsible for reviewing all processed invoices for accuracy — including amounts, line items, and cost codes — before submission.
- Risk: Incorrect invoice data can affect billing, payment timing, and project budgets. Do not submit an invoice until the source document and proposed Procore values agree.
8. Third-Party Platform Dependency
Our service relies on the availability of the Procore API. We are not responsible for any downtime, data loss, failed submissions, or errors caused by Procore’s platform, API changes, or infrastructure limitations.
9. Availability
We use commercially reasonable efforts to keep Denize available, but maintenance, provider outages, and urgent security work may interrupt access. When practical, we may communicate material service changes in advance.
10. Intellectual Property
Denize and its underlying technology are owned by us. You retain ownership of all invoice data and documents you upload. You grant us a limited license to process your data solely to provide the service. We do not claim ownership of your content.
11. Account Termination
We may suspend or terminate access if you violate these Terms, engage in fraudulent activity, or fail to pay amounts owed. Data access and deletion after closure depend on operational backups, security requirements, and legal retention obligations.
12. Indemnification
You agree to indemnify, defend, and hold harmless Denize and its officers, employees, and agents from and against any claims, liabilities, damages, or expenses (including legal fees) arising out of: (a) your use of the service; (b) your violation of these Terms; or (c) invoices or data you submit to Procore through the service.
13. Limitation of Liability
Your warranties, remedies, and any limits on liability depend on applicable law. Nothing in these Terms excludes rights or liability that cannot lawfully be excluded.
14. Governing Law & Venue
These Terms are governed by the laws of the State of Texas, United States. Any disputes shall be resolved exclusively in the state or federal courts located in Travis County, Texas, and you consent to personal jurisdiction there.
15. Changes to These Terms
We may update these Terms as the service changes. When practical, we will communicate material changes by email or in the application and identify the updated effective date. If renewed consent is required, you will be asked to accept the updated Terms before continuing to use the service.

Privacy Policy
This Privacy Policy explains what personal information Integration Partners LLC collects through Denize, how we use it, and your rights regarding that information.
1. Information We Collect
When you sign in with Procore we may receive your name, email address, job title, phone number, company name, and location. When you use the service we collect invoice documents and extracted data, usage data, and technical logs needed to operate and secure the platform.
2. How We Use Your Information
We use your information to operate and improve Denize, process your invoices and submit them to Procore, manage subscriptions and billing, protect the service, and provide customer support. We do not sell personal information.
3. Third-Party Services
We share data with trusted third parties only as necessary to provide the service:
- Procore — authentication and invoice submission
- Stripe — payment processing and subscription management
- OpenAI — AI invoice extraction and matching under OpenAI’s API terms and configured data controls
- Neon — database hosting
- Vercel — application hosting, Vercel Blob storage for encrypted pending attachments, and cookie-free web analytics
- Document scanning provider — malware scanning for uploaded invoice files when the scanner is configured
- Resend — transactional and support email delivery
- Mailgun — inbound invoice email routing and attachment delivery
- Cloudflare Turnstile — bot and abuse prevention on public forms using browser and network signals, not form entries
4. Data Retention
We retain account, invoice-history, security, and billing records for as long as reasonably needed to provide the service, maintain audit and security records, resolve disputes, and meet legal obligations. Pending invoice attachments are removed after they are submitted or dismissed, subject to operational backups.
5. Security
We use encrypted connections (HTTPS), encrypted private storage for pending invoice attachments, secure session cookies, and access controls. No method of transmission or storage over the internet is 100% secure.
6. International Transfers
Our service providers process data primarily in the United States and may process limited data in other locations where they operate. We use providers under service agreements and data-processing terms that include security and confidentiality requirements and, where applicable, recognized cross-border transfer safeguards.
7. Your Rights
Depending on your jurisdiction, you may have the right to access, correct, or delete personal data, and to object to or opt out of certain processing. To make a request, use the Denize contact form.
8. Children’s Privacy
Denize is intended for business use only and is not directed at anyone under the age of 18.
9. Changes to This Policy
We may update this Privacy Policy as the service and its providers change. When practical, we will communicate material changes by email or in the application and update the effective date shown on this page.
